1. Acceptance of Terms

Welcome to GolfAI (“we,” “us,” “our”). By accessing or using our website, mobile application, or other online services (collectively, the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms form a legally binding agreement between you (“User,” “Coach,” “Player,” or “you”) and GolfAI.

2. Eligibility

1. Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. If you are under 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
2. Compliance: You represent and warrant that you will comply with all applicable laws and regulations, including local laws regarding online conduct and content.

3. Account Registration

1. Account Creation: You may be required to register for an account to access certain features of the Service, such as booking a session, receiving payments, or sharing game-related videos and scores.
2. Accuracy of Information: You agree to provide accurate and complete information during registration and to keep your account information updated at all times.
3. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Service Description

GolfAI is a platform that connects golf coaches with players. It enables Users to:

• Create and manage profiles (coaches and players).
• Book and schedule coaching sessions and appointments.
• Upload and share videos of golf gameplay and scores.
• Process payments for coaching and related services.

5. Fees and Payments

1. Fees: Coaches may charge fees for their services, and GolfAI may charge transaction fees or subscription fees for using the platform.
2. Payment Processing: Payments may be processed through third-party payment processors. By making or receiving payments through our Service, you agree to comply with the terms and conditions of these third-party payment processors.
3. Currency and Taxes: All fees are payable in the currency specified by GolfAI or the Coach. You are responsible for any and all applicable taxes, including VAT/GST.
4. Refunds: Any refund requests will be handled by the Coach, subject to the Coach’s individual refund policy. GolfAI may assist in dispute resolution but is not responsible for guaranteeing refunds. For details please refer Cancellation & Refund Policy

6. User Content

1. Definition of User Content: “User Content” includes any videos, photos, scores, text, reviews, ratings, or other materials that you upload, post, or otherwise transmit through the Service.
2. License to GolfAI: By submitting User Content, you grant GolfAI a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with providing the Service.
3. Responsibility for Content: You represent and warrant that you have all necessary rights to share User Content and that your User Content does not violate any applicable laws or infringe upon any third-party rights.

7. Intellectual Property

1. Ownership: All content provided by GolfAI, including logos, text, graphics, images, software, and any other materials, is the exclusive property of GolfAI or its licensors.
2. Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use.

8. Prohibited Uses

You agree not to engage in the following prohibited activities:

• Posting or transmitting any content that is illegal, fraudulent, defamatory, or obscene.
• Attempting to gain unauthorized access to other users’ accounts or GolfAI’s systems.
• Using the Service to spam, scam, or otherwise conduct unethical or fraudulent behavior.
• Reverse engineering any portion of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GOLFAI DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLFAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM:

1. YOUR USE OR INABILITY TO USE THE SERVICE;
2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY;
3. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION.

11. Indemnification

You agree to indemnify and hold harmless GolfAI, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or connected with:

1. Your breach of these Terms;
2. Your violation of any third-party rights, including intellectual property or privacy rights;
3. Any content you submit or share through the Service.

12. Termination

We reserve the right to suspend or terminate your account or access to the Service at any time, for any reason, without notice. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

13. Governing Law and Dispute Resolution

1. Governing Law: These Terms shall be governed by the laws of India, without regard to conflict of laws principles, and shall be enforceable worldwide to the extent applicable local laws do not conflict.
2. Dispute Resolution: Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be subject to the exclusive jurisdiction of the courts in India. However, we reserve the right to seek injunctive or other equitable relief in any competent court worldwide to protect our intellectual property rights or address other urgent legal matters.

14. Changes to the Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any material changes by posting the new Terms on our website or through other reasonable means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
